Uniform Franchise Offering Circular (UFOC)
Our lawyers will represent the franchisor in matters related to sale of a franchise, including preparation of a Uniform Franchise Offering Circular (UFOC), drafting the franchise agreement, reviewing and preparing the required enclosures, including financial disclosures, history of the franchise, lease agreements, computer services agreements, agreements on windows of termination of franchise, insurance, intellectual property agreements, copyright permissions, royalties and other documents that are included in the Circular. In states where it is required, the attorneys handle registration of the UFOC. Note: New federal requirements for the UFOC became effective on July 1, 2007. UFOCs registered before that date will need to be updated by July 1, 2008.

Attorney Franzblau represents franchisors in development of international franchise agreements. He assists domestic and foreign investors in identifying and evaluating appropriate investment vehicles. He also handles termination of franchise agreements, resolve franchisor/franchisee disputes through litigation or negotiation, and provide the full range of business law services necessary to support a well-functioning franchise company.
Accomplishments for hotel chains and other franchisors
We provide extensive experience in franchisor representation for companies offering hotel, time-share and vacation resort franchises. Firm founder, attorney Richard Franzblau served as Assistant General Counsel to Prime Motor Inns, Inc. and HFS, Inc. for more than five years, during which time he provided franchise and marketing counsel to the Howard Johnson, Ramada, and Days Inn lodging chains.
His accomplishments include franchising three separate hotel chains from the start-up phase, negotiating without resort to litigation the resolution of a dispute regarding encroachment into franchisee's area of protection, successfully protecting a franchisor's rights in a service mark challenged by Marriott Corporation, forcing Marriott to not only drop its challenge to the company's service mark but to cease the use of its service mark that was similar to company's service mark; and successfully stopping several domain name infringers from usurping domain names. As Corporate Counsel to Confectionery Square Corporation, a franchise chain of candy shops in major shopping centers, he coordinated and assisted the chain's rapid expansion through franchising.
In addition to serving as in-house counsel to franchisors, in private practice Mr. Franzblau has represented Best Inns of America, a franchisor of Inns and Suites in the Midwest. He is a member of the American Bar Association Forum on Franchising as well as the New Jersey Bar Association's Committee on Franchising, and has taught "How to Buy A Franchise" for the Hunterdon County Adult Continuing Education Program.
